1. The service
Arx provides enterprise-readiness infrastructure for internally-built AI security agents, including policy guardrails, audit trails, agent registry, and connector governance. Specific features, limits, and SLAs for paid customers are set in an order form or subscription agreement. If any conflict exists between these Terms and a signed agreement, the signed agreement controls.
2. Your account
You must provide accurate account information, keep credentials confidential, and be responsible for activity under your account. You must be at least 18 and authorized to bind your organization. Notify us promptly at security@arxsec.io if you suspect unauthorized access.
3. Acceptable use
You may not use Arx to do any of the following:
- Violate any applicable law or the rights of a third party.
- Attack, probe, scan, or otherwise circumvent the security of Arx or any other system without explicit authorization.
- Reverse engineer, resell, or white-label the service except as permitted in a written agreement.
- Upload content that is unlawful, infringing, or that you do not have the right to process.
- Interfere with other customers' use of the service or exceed documented rate limits without prior approval.
We may suspend access to prevent ongoing harm to Arx, its customers, or third parties, and will work in good faith to restore service once the issue is resolved.
4. Customer data
You retain all rights in the data you send to Arx ("Customer Data"). You grant Arx a limited license to process Customer Data solely to provide and improve the service. Arx's processing of personal data on your behalf is governed by our Data Processing Agreement. Arx does not use Customer Data to train general-purpose AI models.
5. Fees and payment
Paid plans are billed under the order form you sign. Unless otherwise stated, fees are non-refundable, exclusive of taxes, and due net 30. Overdue balances may accrue interest at 1.5% per month or the maximum permitted by law. Arx may suspend the service for non-payment after reasonable notice.
6. Intellectual property
Arx and its licensors retain all right, title, and interest in the service, including software, documentation, and trademarks. You may submit feedback; Arx may use feedback without restriction to improve the service, but will not publicly attribute it to you without permission.
7. Warranty disclaimer
Except as expressly stated in a signed agreement, the service is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, even if advised of the possibility. Each party's aggregate liability arising out of or relating to these Terms is capped at the fees you paid Arx in the 12 months preceding the event giving rise to the claim. These limits do not apply to breach of confidentiality, indemnification obligations, or a party's gross negligence or willful misconduct.
9. Term and termination
These Terms continue while you use the service. Either party may terminate for material breach after 30 days' notice and opportunity to cure. On termination, you must stop using the service and Arx will delete or return Customer Data per the DPA.
10. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and both parties consent to personal jurisdiction there. Each party waives the right to a jury trial.
11. Changes
We may update these Terms as the service evolves. Material changes will be announced by email or in-product notice at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
